You acknowledge that:

  • We are not a law firm and do not provide legal advice. Our Services are administrative and consultative in nature. You should consult with qualified legal and tax professionals in the relevant jurisdictions for advice specific to your situation.
  • We do not guarantee the approval of any filing by a government authority. Processing times and outcomes are subject to the discretion of the relevant authorities.
  • You are responsible for providing accurate, complete, and timely information necessary for us to perform the Services. Delays or errors caused by inaccurate information are your responsibility.

3. Intellectual Property Rights

Unless otherwise indicated, the Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Start Company Abroad, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.   • To use the Services for any purpose that is unlawful or prohibited by these Terms, including the formation of companies for illegal purposes such as money laundering, terrorist financing, or tax evasion.

We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion if we believe your conduct violates these Terms or applicable law.

5. Fees and Payment

You agree to pay all fees associated with the Services as set forth in your engagement agreement or as displayed on the Site. Fees are exclusive of applicable taxes, which you are responsible for. Payment terms are as specified at the time of purchase. We reserve the right to change our fees at any time, but changes will not affect services already paid for. Refunds are subject to our Refund Policy, which is incorporated into these Terms by reference.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL START COMPANY ABROAD, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICES GIVING RISE TO THE CLAIM.

7. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER START COMPANY ABROAD NOR ANY PERSON ASSOCIATED WITH START COMPANY ABROAD MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES. WITHOUT LIMITING THE FOREGOING, NEITHER START COMPANY ABROAD NOR ANYONE ASSOCIATED WITH START COMPANY ABROAD REPRESENTS OR WARRANTS THAT THE SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE. WE DO NOT WARRANT THAT ANY FILING WILL BE ACCEPTED BY THE RELEVANT AUTHORITIES OR THAT THE SERVICES WILL MEET YOUR REQUIREMENTS. 8. Indemnification

You agree to defend, indemnify, and hold harmless Start Company Abroad, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, any information you provide in connection with a filing, your violation of any law or the rights of a third party, or your breach of any representation or warranty in these Terms.

9. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the federal or state courts located in New York County, New York. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

10. Changes to Terms

We may revise and update these Terms from time to time in our sole discretion.
